Our services are provided only to clients who operate within the applicable legal framework and who provide truthful and complete information. Access to and use of our services is personal and non-transferable. It is prohibited to use our services to send illegal content, spam, malware, or any material that violates third-party rights or the usage policies of the platforms involved (Klaviyo, Meta, Google, etc.).
Services are provided according to the scope defined in the proposal or contract signed between the parties. Payments are made according to the agreed structure: monthly retainer, per-project payment, or another structure defined in the proposal. Late payments may result in the temporary suspension of services until the situation is resolved. Initial setup requires a 50% upfront payment to begin work.
Materials developed by BIG TOKIO as part of the services (flows, templates, copy, strategies) are allocated as follows: the client owns the delivered assets (email templates, copy, Klaviyo configurations and other pieces produced specifically for their brand); BIG TOKIO retains the know-how, methodologies, frameworks and internal processes used to develop those assets, which may not be reproduced, resold or used by the client outside the scope of the contracted services. This allocation applies once the client has paid in full for the services corresponding to the period in question. In the event of early termination of the contract with outstanding payments, BIG TOKIO reserves the right to withhold delivery of assets until the balance is settled.
BIG TOKIO commits to providing its services with professionalism, strategic judgment and dedication. We are not liable for indirect losses, lost profits, or results not achieved due to factors external to our execution, such as changes in platform algorithms, market fluctuations, or client decisions. The effectiveness of campaigns and automations also depends on the information, access and resources the client provides in a timely manner. BIG TOKIO is not responsible for misuse of the services or materials delivered once the work is completed.
Both parties commit to maintaining the confidentiality of sensitive information exchanged during the business relationship — including client data, strategies, results and any information marked as confidential. This obligation remains in effect after the contractual relationship ends.
We may update these Terms at any time. Changes take effect upon publication on bigtokio.com. We recommend reviewing this page periodically to stay up to date with any changes.
These Terms and Conditions are governed by the laws of the Argentine Republic, in particular the Civil and Commercial Code (CCCN) and Consumer Protection Law 24.240. Any dispute arising from the interpretation or application of these terms shall be submitted to the ordinary courts of the Autonomous City of Buenos Aires, with the parties waiving any other jurisdiction that might apply. For clients located in the United States: to the extent permitted by applicable law, these terms are equally governed by the principles of U.S. federal contract law.
